Binding Agreement: These Terms constitute a legally binding agreement

3. Service Description

CloseYourLead provides automated lead nurturing services for real estate professionals:

Property Alert System: Automated property matching from Zillow, Realtor.com, and Redfin
Lead Management: CRM features for managing client information and preferences
Email Automation: Personalized property alerts with your branding
Analytics Dashboard: Track engagement, opens, clicks, and lead activity
Template Management: Customizable email templates

4. Account Registration & Security

4.1 Account Creation

You must register for an account to access the Service
Provide accurate, current, and complete information
Maintain and update your account information
One account per person or business entity

4.2 Account Security

Your Responsibility: Maintain confidentiality of login credentials
Use strong passwords and enable two-factor authentication
Notify us immediately of unauthorized access
You are responsible for all activities under your account

4.3 Account Termination

By You: Cancel anytime through Settings → Account → Delete Account
By Us: We may suspend/terminate accounts for violations
Data Retention: Data retained for 30 days, then permanently deleted

5. Subscription & Billing

5.1 Subscription Plans

Various subscription tiers with different features and usage limits. Current pricing available on our pricing page.

5.2 Billing Terms

Payment Processor: Stripe (PCI-DSS compliant)
Automatic Renewal: Subscriptions renew automatically unless canceled
Currency: USD unless otherwise specified
Taxes: Prices exclude applicable taxes (added at checkout)
Failed Payments: Service may be suspended after failed payment attempts

5.3 Cancellation & Refunds

Cancel Anytime: Settings → Billing → Cancel Subscription
Access Until End: Service continues until end of billing period
No Partial Refunds: No prorated refunds unless required by law
Trial Period: Cancel before trial ends to avoid charges

5.4 Plan Changes

Upgrades: Immediate with prorated billing
Downgrades: Effective at end of billing period
Usage Limits: May require reducing usage when downgrading

6. Usage Restrictions

6.1 Acceptable Use

You agree NOT to:

Violate laws or regulations
Send spam or violate CAN-SPAM/GDPR
Upload malware or malicious code
Attempt unauthorized access
Scrape or copy data without permission
Reverse engineer the Service
Resell or redistribute the Service
Exceed usage limits or abuse features

6.2 Email Compliance

You must:

Obtain proper consent from recipients
Include clear unsubscribe mechanisms
Honor unsubscribe requests promptly
Comply with CAN-SPAM Act and GDPR
Maintain accurate sender information

6.3 Enforcement

Warnings: First violations may result in warning

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Service provided "AS IS" without warranties
We do not guarantee uninterrupted or error-free operation
Our liability is limited to amount paid in past 12 months
We are not liable for indirect, incidental, or consequential damages
Examples: lost profits, data loss, business interruption

11. Indemnification

You agree to indemnify CloseYourLead from claims arising from:

Your violation of these Terms
Your violation of third-party rights
Your uploaded content

12. Service Availability

Uptime Goal: We strive for 99.9% uptime
Maintenance: Scheduled with advance notice
Force Majeure: Not liable for issues beyond our control
Backups: We maintain backups but recommend keeping your own

13. Modifications

We may modify, suspend, or discontinue features
Material changes announced with reasonable notice
Not liable for modifications or discontinuations

14. Changes to Terms

Changes effective upon posting
Continued use constitutes acceptance

15. Termination
